1. ENTRY CAP & END DATE

The Sweepstakes begins at 9:00 PM ET on July 19, 2025 and will remain open until the earlier of (a) 11:59 PM ET on August 19, 2026 or (b) the fixed entry cap of 40,000 total entries being reached (the “Entry Cap”). Once the Entry Cap is reached, no further entries will be accepted and the Sweepstakes will close immediately. The sponsor’s computer is the official time-keeping device.

Low Entry Clause: If the Sweepstakes concludes without reaching a minimum of 20,000 total entries, Sponsor reserves the right, in its sole discretion, to cancel the Sweepstakes and issue full or partial refunds to participants who purchased digital artwork or merchandise solely for entry purposes. Any such decision will be announced on the official website and Instagram page, and participants will be contacted via the email they provided at time of entry.

2. ELIGIBILITY

Open only to legal residents of the forty-six (46) United States (excluding Alaska and Hawaii) and the District of Columbia, who are at least eighteen (18) years of age or older at time of entry. Void where prohibited or restricted by law.

  • Residents of New York State and Florida are included; however, prize acceptance options for winners from those states are subject to the Alternate Prize Option described in Section 5.1.
  • Employees, officers, and directors of Sponsor, its parent, subsidiaries, affiliates, advertising and promotion agencies, and their immediate family members or those living in the same household (whether related or not) are not eligible to enter or win.

3. HOW TO ENTER

A. Purchase Entry Method

During the Sweepstakes period, visit the Site and purchase the designated “Bad Company Giveaway 1” digital artwork download (the “Artwork”) for the posted price (a “Paid Entry”). Each Paid Entry generates one (1) entry. Multiple Paid Entries are permitted; participants may enter as often as they like, subject to the Entry Cap.

B. No Purchase Necessary Method (“Free Entry”)

To enter without a purchase, mail a hand-printed 3″×5″ card including your full name, address, email address, phone number, and the statement “No Purchase Entry – Bad Company Giveaway 1 Sweepstakes” to:

Entries must be postmarked during the Sweepstakes period and received within seven (7) days of postmark. Limit one (1) Free Entry per person and per mailing address. Multiple entries from the same individual or household will be disqualified. All Free Entries count toward the Entry Cap and become the property of the Sponsor. Proof of mailing does not constitute proof of delivery.

4. ENTRY LIMIT

No limit on the number of Paid Entries per person. One (1) Free Entry per person and mailing address. Total entries (Paid + Free) limited to the Entry Cap of 40,000.

5. PRIZES

  • Grand Prize (1): Winner chooses either:
    • A used 2022 BMW 330i (automatic, U.S. spec, as-is), ARV $20,000; OR
    • $20,000 USD cash (via check or wire).
  • Second Prize (1): Winner chooses either:
    • 15" M4 MacBook Air (32GB RAM, 2TB SSD), ARV $2,590.92; OR
    • $2,500 USD cash.
  • Third Prize (1): Winner chooses either:
    • 128GB iPhone 16e (Black), ARV $599; OR
    • $500 USD cash.

All prizes are non-transferable and substitutions are not allowed except at the Sponsor’s sole discretion. Winners are responsible for taxes, fees, and applicable shipping costs.

Vehicle Winner Requirements: The Grand Prize vehicle winner must:

  • Provide valid government-issued identification proving legal U.S. residency and age of 18 or older.
  • Possess a valid U.S. driver’s license.
  • Provide proof of auto insurance prior to vehicle delivery or pickup.
  • Be responsible for all registration, title, license, insurance, and any other costs associated with taking possession of the vehicle.
  • Accept the vehicle “as is” with no warranties or guarantees from the Sponsor.

5.1 ALTERNATE PRIZE OPTION FOR NY & FL RESIDENTS

If a Grand Prize winner is a resident of New York or Florida and legal restrictions apply, the Sponsor may offer an Alternate Prize of equal value:

  • High-End Electronics Bundle: Approx. ARV $20,000 – includes premium laptops, desktop, monitors, and peripherals.
  • Store Gift Cards: Visa, Mastercard, or major retailers totaling $20,000.

The winner must choose an option within 10 days of notice.

6. RANDOM DRAWING & ODDS

Winners will be selected via random drawing after the Entry Cap is met or by August 19, 2026. Odds depend on the total entries received. Announcement will occur live on Instagram: @badcompanysupplyco.

7. NOTIFICATION & CLAIMING PRIZE

Winners will be notified by email and/or telephone. To claim a prize, each potential winner must, within ten (10) days of notification:

  • Sign and return an Affidavit of Eligibility, Liability & Publicity Release (where lawful) and any other documents Sponsor may require; and
  • Provide valid identification (e.g., driver’s license).

Failure to comply may result in disqualification and selection of an alternate winner.

8. CONDITIONS & RELEASE

By participating, entrants agree to these Official Rules and to Sponsor’s decisions, which are final. Entrants release and hold harmless Sponsor, Administrator, and their respective officers, directors, employees, and agents from any liability arising from participation or acceptance/use of any prize.

9. REPRESENTATIONS & WARRANTIES

Entrants warrant that all information submitted is true, correct, and complete. Any entrant who provides false information or fails to comply may be disqualified and forfeit any prize.

10. PUBLICITY

Except where prohibited, participation constitutes permission for Sponsor to use the winner’s name, likeness, voice, opinions, and/or hometown and state for advertising and promotional purposes worldwide, without additional compensation.

11. PRIVACY

12. DISPUTES; GOVERNING LAW

In the event of any controversy or claim arising out of or relating to this Sweepstakes or these Official Rules, the parties agree to:

  • Attempt in good faith to resolve the dispute through direct discussions;
  • If unresolved, submit the matter to binding arbitration conducted by a sole arbitrator in the Commonwealth of Pennsylvania (or another mutually agreed location), under rules such as those of the American Arbitration Association;
  • Mutually select the arbitrator from a pool of three (3) proposed candidates;
  • The prevailing party shall be entitled to recover reasonable attorneys’ fees and arbitration costs.

Each entrant expressly waives the right to a jury trial or to participate in any class action. These Official Rules and any dispute will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

13. TAXES

All federal, state, and local taxes on prizes are the sole responsibility of the winner. A Form 1099 will be issued if required by law.

14. LIMITATION OF LIABILITY

UNDER NO CIRCUMSTANCES SHALL SPONSOR OR ITS AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM PARTICIPATION OR INABILITY TO PARTICIPATE, OR ANY PRIZE.
